Welcome to Heritage AI Investment (“Heritage,” “we,” “us,” or “our”). We are a U.S.-based platform offering AI-powered cryptocurrency investment tools, portfolio management services, staking, and related digital asset services. These Terms & Policies govern your access to and use of our website, mobile applications, platforms, and services (collectively, the “Services”).

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, Risk Disclosures, and any other incorporated policies. If you do not agree, you must not use the Services.

1. Terms of Service

1.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and a U.S. resident or otherwise legally permitted to use our Services. You represent that you are not on any U.S. sanctions lists (e.g., OFAC) and are not a prohibited person under applicable law. Corporate or institutional users must have proper authorization.

We may require identity verification (KYC), AML checks, and additional due diligence before granting or maintaining access.

1.2 Account Registration and Security

• You must create an account with accurate information.
• You are responsible for maintaining the confidentiality of your account credentials, private keys (if applicable), and any 2FA or security measures.
• Notify us immediately of any unauthorized access or security breach.
• We are not liable for losses resulting from your failure to secure your account.

1.3 Our Services

Heritage AI Investment provides AI-driven analytics, automated trading signals, portfolio optimization, staking opportunities, and access to select digital assets. Services may include custody solutions through third-party partners. We do not guarantee profits, performance, or availability of any asset.

We reserve the right to modify, suspend, or discontinue any Service at any time.

1.4 Fees and Payments

Fees (trading, management, staking, withdrawal, etc.) are disclosed before transactions. We may change fees with notice. You are responsible for any network/gas fees, taxes, or third-party charges. All transactions are final unless otherwise stated.

1.5 Prohibited Conduct

You agree not to:

• Use the Services for illegal activities, money laundering, fraud, or sanctions evasion.
• Manipulate markets, engage in wash trading, or attempt to interfere with platform operations.
• Reverse engineer, copy, or distribute our technology or AI models.
• Provide false information or impersonate others.
• Violate any applicable laws, regulations, or third-party rights.

We may suspend or terminate accounts for violations without notice.

1.6 Intellectual Property

All content, AI models, logos, and technology on the platform are owned by or licensed to Heritage AI Investment. Limited, non-exclusive, revocable license is granted for personal use. You grant us a license to use any content you upload (e.g., portfolio data) to provide and improve Services.

1.7 Termination

We may terminate or suspend your access at our discretion. Upon termination, you must cease use, and any outstanding obligations survive. You may close your account subject to our policies and any open positions or fees.

1.8 Disclaimers and Limitations of Liability

• Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
• We do not warrant accuracy of AI predictions, market data, or uninterrupted service.
• To the maximum extent permitted by law, Heritage and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or assets.
• Our total liability shall not exceed the fees paid by you in the preceding 12 months (or $100 if no fees paid).

1.9 Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the Services, violation of these Terms, or breach of law.

1.10 Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively through binding arbitration in Delaware under the rules of the American Arbitration Association. You waive jury trials and class actions.

1.11 Changes to Terms

We may update these Terms with notice (via email, website banner, or in-app). Continued use after changes constitutes acceptance.

2. Privacy Policy

2.1 Information We Collect

We collect:

• Personal Information: Name, email, address, date of birth, government ID, SSN/ITIN (for tax/KYC), phone number.
• Financial Information: Bank details, wallet addresses, transaction history.
• Usage and Technical Data: IP address, device info, browsing behavior, AI interaction logs.
• Other: Communications with support, marketing preferences.

2.2 How We Use Information

• To provide, personalize, and improve Services (including AI models).
• For KYC/AML compliance and fraud prevention.
• To process transactions and send communications.
• For analytics, research, and marketing (with opt-out options where required).
• As required by law or to protect our rights.

2.3 Sharing and Disclosure

We may share data with:

• Service providers (custodians, analytics, cloud services) under strict agreements.
• Regulators and law enforcement as required.
• In the event of merger, acquisition, or bankruptcy.
• With your consent.

We do not sell personal data.

2.4 Data Security

We implement reasonable administrative, technical, and physical safeguards. However, no system is impenetrable. We are not liable for breaches beyond our reasonable control.

3. Risk Disclosures (Critical for Crypto/AI Investments)

Investing in cryptocurrencies and using AI-powered tools involves substantial risk of loss. You may lose some or all of your invested capital. Past performance (including AI backtests) is not indicative of future results.

Key Risks Include (but are not limited to):

• Volatility: Prices can fluctuate dramatically and rapidly. Flash crashes, liquidity issues, or market manipulation are possible.
• AI Limitations: Our AI models rely on historical data and algorithms that may fail in novel market conditions, contain biases, or produce inaccurate predictions. AI is a tool, not a guarantee.
• Regulatory Risk: Crypto regulations are evolving. Actions by the SEC, CFTC, or other agencies could adversely affect the platform, tokens, or your assets. Services may be restricted or modified.
• Cybersecurity & Technology: Hacking, bugs, wallet compromises, smart contract vulnerabilities, or third-party failures could result in total loss. We are not responsible for losses from such events beyond our direct control.
• Custody & Counterparty Risk: Digital assets held in custody (ours or third-party) are subject to loss from insolvency, theft, or operational issues. Assets are not FDIC-insured.
• Liquidity & Transfer Risks: You may not be able to sell or transfer assets quickly at desired prices.
• Tax Risks: Crypto transactions may have complex tax implications. You are solely responsible for compliance.
• No Investment Advice: We do not recommend specific investments. All decisions are yours.
• Force Majeure: Events like natural disasters, wars, or internet failures are beyond our control.

You should only invest what you can afford to lose entirely. Consider consulting licensed financial, legal, and tax advisors.

4. Additional Policies

• AML/KYC Policy: We comply with U.S. Bank Secrecy Act and related laws. Suspicious activity may be reported without notice.
• Prohibited Jurisdictions: Services may not be available in all U.S. states or internationally where prohibited.
• No Waiver: Failure to enforce a right does not waive it.
